Raytheon Company wishes to hire an attorney to serve as the primary legal adviser to its Pension Invetsment Group. The Company sponsors numerous funded defined benefit, defined contribution, welfare benefits, and nonqualified plans with total assets of approximately $25B. Investment management is conducted by plan fiduciaries operating through the Company's Pension Group.





The position will:





* Be the principal legal adviser for the plans' in-house investment fiduciaries and work extensively with the Pension Group.



* Advise on all aspects of ERISA compliance of plan investments and investment management, including general fiduciary issues and prohibited transactions.



* Support the Company's Investment Committee.



* Conduct legal due diligence on prospective managers and funds.



* Negotiate investment management agreements, derivatives contracts (including ISDAs and futures/options agreements), prime brokerage, securities lending, and other contracts.



* Review documentation for investments in on-shore and off-shore investment funds, including partnerships, limited liability companies, and collective trusts.



* Advise on legal issues in and documentation of sale of interests in investment funds.



* Review and revise trust agreements, including master trusts, separate trusts, VEBAs, and Rabbi trusts, and interface with outside trustees and their counsel.



* Participate in special projects, such as defined contribution plan disclosures to participants and recovery of proceeds from class actions.



* Coordinate with Tax Department on unrelated business income tax issues.



Requirements:



J.D. degree with at least 12 years of experience in providing legal advice on the full range of ERISA fiduciary and investment management issues affecting large ERISA funds with active and complex investment programs.
